1. About us
This website is operated by Celsa Technologies Ltd ("Celsa", "we", "us", "our"), a company registered in England and Wales. Our registered office is 13 Wroughton Terrace, London NW4 4LE, United Kingdom. You can contact us at hello@celsatechnologies.co.uk or on +44 7397 053708.
These terms apply to your use of celsatechnologies.co.uk, to any design, development or support services we provide to you, and to products you buy from us, such as The Software Handbook. If we agree a written proposal, statement of work or contract with you, its terms take priority over these terms where they differ.
2. Using this website
You may use this website for lawful purposes only. You must not try to gain unauthorised access to it, interfere with how it works, or use it to send unsolicited marketing or harmful code.
We work to keep the website accurate and available, but it is provided "as is". We may change or withdraw any part of it without notice. Prices and descriptions on the website are a guide and do not form an offer; a binding agreement is only made when we both accept a written proposal.
Links to other websites are provided for convenience. We are not responsible for the content or practices of websites we do not control.
3. Our services
We design and build websites, online stores, web applications and other software, and we provide hosting, maintenance and support. Before any paid work begins we will send you a written proposal setting out the scope, deliverables, timeline, price and payment schedule. Work starts once you have accepted the proposal and paid any deposit due.
We will carry out the services with reasonable skill and care, using suitably experienced people, and in line with good industry practice.
4. Quotes and payment
- Quotes are valid for 30 days unless stated otherwise.
- Unless your proposal says otherwise, projects are invoiced as a 50% deposit on acceptance and 50% before launch.
- Care plans and other recurring services are billed monthly in advance.
- Invoices are payable within 14 days. Prices exclude VAT, which is added where applicable.
- Third-party costs, such as domains, hosting, paid plugins, licences and stock assets, are either paid by you directly or passed on at cost, as agreed in your proposal.
- If a business client pays late we may charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998, and we may pause work until the account is up to date.
5. Your responsibilities
Projects run on time when we can get what we need. You agree to:
- give us accurate information, content, feedback and approvals within the timescales we agree;
- provide access to any accounts, systems or third parties we need to complete the work;
- make sure you have the rights to any content, images, trademarks or data you give us, and that using them will not break any law or infringe anyone's rights;
- review deliverables when we send them and tell us promptly if something isn't as agreed.
If delays on your side push the project back, we will agree a revised timeline with you, and extra time may be charged where it affects our schedule.
6. Changes to scope
Ideas often evolve once you see a project taking shape. If you would like to change or add to the agreed scope, we will tell you how it affects cost and timeline and get your written approval before doing the extra work. Each proposal includes a set number of revision rounds; further rounds are charged at our day rate set out in the proposal.
7. Intellectual property
- When you have paid in full, ownership of the bespoke code, designs and content we create specifically for you passes to you.
- We keep ownership of our pre-existing tools, components, know-how and general-purpose code. Where these are part of your project, we grant you a perpetual, non-exclusive, royalty-free licence to use them as part of that project.
- Open-source software and third-party products remain subject to their own licences, which we will point out where they matter.
- Unless you ask us not to, we may mention that we worked with you and show the finished, publicly available work in our portfolio. We will never share confidential information when we do.
8. Confidentiality
We both agree to keep the other's confidential information private and use it only for the project. This does not apply to information that is already public, was already known to the recipient, or must be disclosed by law. We're happy to sign a separate non-disclosure agreement if you prefer.
9. Fixes and warranty
For 30 days after launch we will fix, at no cost, any defect that means the work does not do what was agreed in the proposal. This does not cover problems caused by changes made by anyone other than us, by third-party services or updates, or by use outside the agreed scope. After 30 days, fixes and changes are covered by a care plan or charged at our standard rates.
Nothing in these terms affects your statutory rights as a consumer.
10. Liability
Nothing in these terms limits or excludes our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.
If you are a business, then subject to the paragraph above:
- we are not liable for loss of profit, revenue, business, goodwill or data, or for any indirect or consequential loss;
- our total liability arising from a project is limited to the fees you paid us for that project in the 12 months before the claim arose.
If you are a consumer, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill. We are not responsible for loss or damage that is not foreseeable, and we only supply services for domestic and private use where you are a consumer.
11. Third-party services
Projects often depend on third parties such as hosting providers, payment processors, domain registrars, email services and AI model providers. Their services are provided under their own terms. We choose reputable providers but cannot be responsible for their availability, pricing changes or performance.
12. Ending a project
You can end a project at any time by telling us in writing. You will pay for work completed up to that date, plus any third-party costs we have committed to on your behalf, and we will hand over everything completed so far once that is paid. Either of us may end the agreement immediately if the other seriously breaches it and does not put it right within 14 days of being asked, or becomes insolvent.
How deposits and refunds work is explained in our refund policy.
13. Our products
Our own software products, such as ColdSoup, have their own terms of use, which are shown on the product's website. If you use one of our products, those terms apply to that use.
14. Buying the handbook
These terms apply when you buy a printed copy of The Software Handbook from us.
- Orders. When you place an order you're making an offer to buy. The contract is formed when we email to confirm your order has been dispatched. If we can't accept an order, for example because of a pricing error or because we've run out of stock, we'll tell you and refund anything you've paid.
- Price and payment. Prices are in pounds sterling. Printed books are zero-rated for VAT in the UK. The delivery charge is shown before you pay. Card payments are processed securely by our payment provider, Stripe; we never see or store your full card details.
- Delivery. We currently deliver to UK addresses only. Orders are normally dispatched within 3 working days by Royal Mail. Delivery times are estimates; if your order hasn't arrived within 10 working days of dispatch, tell us and we'll send a replacement or refund you. The book is your responsibility once it has been delivered, and it's yours once you've paid for it.
- Changing your mind. If you're a consumer you can cancel within 14 days of the day you receive the book, without giving a reason. How to do this, and how refunds work, is explained in our refund policy.
- Faulty or damaged copies. If your copy is damaged, misprinted or not what you ordered, we'll replace it or refund you in full, including delivery. This is in addition to your rights under the Consumer Rights Act 2015.
The handbook's content is protected by copyright. Buying a copy doesn't give you the right to copy, scan or redistribute it.
15. Changes, law and disputes
We may update these terms from time to time. The version on this page when you accept a proposal applies to that project. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that consumers living in Scotland or Northern Ireland may also bring proceedings in their local courts.
If something goes wrong, please talk to us first. Most problems can be solved quickly by email or a call.
